Terms of Service

Terms and Conditions govern the relationship and engagement of users (referred as you) with Indy Cloud Pros LLC (collectively referred as we/ our/ us) for products, solutions, websites, add-ons, extensions, websites, blogs and services (collectively referred as Service).

Please read carefully before using the Service.

Your use of the Service means your acceptance, adherence and compliance with the terms and conditions.

Fees

Service is offered as either free, free-trial, paid or freemium models. The fee is governed by the pricing plans effective in each Service.

The fees are charged on subscription basis and billed in advance on recurring in the defined frequency as monthly, yearly. The price and frequency of the billing depends on the Service and your subscription plan.

All payment transactions are done via payment gateway providers (like PayPal or Stripe). We do not directly accept or transact with your cards.

The subscription license is attached to user's account (email). Your subscription will be automatically renewed unless cancelled. You can cancel your subscription any time. Subscription or renewal fees once paid cannot be refunded except for duplicate payments.

If your automatic renewal fails due to card expiry or insufficient funds or bank declines etc, you can resolve the issue with your card/bank or our customer portal or on the payment gateway website. Payment gateway will retry payments on periodical intervals. In case, you need support, you can contact our support team to resolve the renewal issue.

You can transfer your subscription if transfer is applicable for your subscribed plan, by contacting our support team.

The subscriptions are managed (created, renewed, suspended, cancelled etc) through our customer portal or directly via payment gateway provider. You are solely responsible to maintain your subscriptions.

Some of the consultancy, personal support and custom development Services are charged on a fixed-price or hourly rate basis. The price and hourly rate are communicated and agreed upfront before starting the Service.

Intellectual Property

The Service and it's internal contents will remain the exclusive property of Indy Cloud Pros LLC. You shall not attempt to unpack, reverse engineer, duplicate our Service. The Service is protected by laws of The United States and foreign countries. Our brands and trademarks shall not be used in connection with any product or service without the prior written consent of Indy Cloud Pros LLC.

Limitation Of Liability

In no event shall Indy Cloud Pros LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “as-is” and “as-available” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Depending on Service, it may be constituted of external systems and services  (like Google's Workspace platform, Cloud Platforms, APIs, Zoho Platforms, environments etc.) and the availability may be directly impacted by external system's availability. There is no guarantee or warranty for the service availability, up-time, and continuity.

Indy Cloud Pros LLC do not warrant that a) the Service will function uninterrupted, defect-free or available at any particular time or location; b) any errors or defects will be corrected; c) the results of using the Service will meet your requirements.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Others

By using our Service, you agree that we can feature your company logo, website and domain name as a customer in our website unless you specifically made a written non-disclosure agreement signed with us.
